The essay illustrates how the so called “mixed” or “non-pure” claims made clause, in their most “extreme” version i.e., without any corrective measures, as well as those with minimal corrections (by which is meant retroactive coverage or sunset clauses of a duration shorter than the ten-year statutory limitation period), are not compatible with Italian legal system. And this already in light of the indications issued by the two rulings of the Italian Supreme Court (United Chambers) in 2016 and 2018, which have drawn with sufficient clarity, within the relevant market, the distinction between what is “lawful” and “unlawful”. Nevertheless, subsequent case law has effectively ignored the conclusive outcomes reached by the United Chambers, sticking to the initial approach based on a case-by-case method, continuing to assert that claims-made clauses, including the “mixed” ones, should always be considered valid unless proven otherwise.
Il saggio illustra come le clausole claims made “impure”, nella loro versione più “estrema”, cioè senza correttivi di sorta, nonché quelle con correttivi minimali (con ciò intendendosi coperture pregresse o sunset clause dalla durata inferiore al termine prescrizionale decennale), non siano compatibili con il nostro ordinamento giuridico. E ciò già alla luce dell’indicazioni rilasciate dalle due pronunce a Sezioni Unite della Cassazione del 2016 e del 2018, che hanno tracciato con sufficiente chiarezza nel mercato di riferimento, il discrimen tra «lecito» e «illecito». Tuttavia, la giurisprudenza successiva ha di fatto ignorato gli esiti dirimenti raggiunti dalle Sezioni Unite, rimanendo fedele all’approccio iniziale basato sul metodo case by case, continuando ad affermare che le clausole claims made, comprese quelle “impure”, sarebbero da ritenersi sempre valide, salvo la prova del contrario.
